RESOLUTION TO AUTHORIZE A CONTRACT WITH COMPREHENSIVE

HEALTH SERVICES, INC. (THE WELLNESS PLAN)



RESOLUTION #98-54WHEREAS, Ingham County operates a network of community health centers providing primary care to Medicaid-eligible and uninsured persons; and



WHEREAS, in February, 1996, the Board of Commissioners authorized a contract with Community Health Services of Detroit (The Wellness Plan), whereby the Health Department would provide primary care services to Medicaid-eligible persons who had enrolled with the Health Maintenance Organizations (HMO); and



WHEREAS, the County did execute such an agreement with The Wellness Plan and the Health Department began serving enrollees of The Wellness Plan early in 1997; and



WHEREAS, in late 1997, The Wellness Plan advised the County that because the State of Michigan had executed new contracts with the Qualified Health Plans providing services to Medicaid insured persons, it intended to terminate the contract with Ingham County effective December 31, 1997 with the intent of executing a new contract effective January 1, 1998; and



WHEREAS, The Wellness Plan has offered a contract, to be effective January 1, 1998, to utilize Ingham County as a provider of primary care services to Medicaid insured persons enrolled with The Wellness Plan; and



WHEREAS, the Health Department's clinical network has successfully made the transition to delivering services in a managed care environment and must continue to contract with Qualified Health Plans with Medicaid contracts as a source of patients and patient revenue; and



WHEREAS, the Health Officer has recommended that the Board of Commissioners authorize and execute a contract with The Wellness Plan to provide primary care services and coordinate the comprehensive care needs of Medicaid-insured persons.



THEREFORE BE IT RESOLVED, that the Ingham County Board of Commissioners authorizes an agreement with Comprehensive Health Services, Inc. (The Wellness Plan), a Federally licensed Health Maintenance Organization (HMO), to provide services for its enrolled population through the Ingham County Health Department.



BE IT FURTHER RESOLVED, that the agreement shall provide for a capitated monthly payment to Ingham County for each person assigned and that the county shall share in any savings earned by the HMO for those persons assigned to the County.

BE IT FURTHER RESOLVED, that if losses are experienced in a calendar year (the combination of the Speciality Fund and the Hospital Fund result in a negative figure), that loss will be charged to the appropriate fund the following year. If the contract is not renewed, the County's liability for the loss will not exceed $50,000.



BE IT FURTHER RESOLVED, that the agreement shall be for a one year period commencing on January 1, 1998 and shall be continued thereafter on a year to year basis with either party having the right to terminate with proper notice.



BE IT FURTHER RESOLVED, that the Board Chairperson is authorized to sign the agreements after review by the County Attorney.
