RESOLUTION ESTABLISHING CITY OF LANSING
AND COUNTY OF INGHAM JOINT BUILDING AUTHORITY
RESOLUTION #98-62
Minutes of a regular meeting of the County Board of Commissioners of the County of Ingham, State of Michigan held in Mason in the County on March 24 1998, at 7:00 p.m. prevailing Eastern Time.
PRESENT: Members: Bernero, Czarnecki, Goulet, Grebner, Hunting, Keefe, Juall, McDonald, Pratt, Schafer, Sims, Smiley, and Stid
ABSENT: Members: None
The following preamble and resolution were offered by Member McDonald and supported by Member Pratt.
WHEREAS, there is an immediate need for the County of Ingham, Michigan (the "County") and the City of Lansing, Michigan (the "City") to act jointly to finance and construct a new courthouse facility; and
WHEREAS, Act 31, Public Acts of Michigan, 1948 (First Extra Session), as amended ("Act 31"), enables a County and a City to incorporate one or more joint authorities for the purpose of acquiring, furnishing, equipping, owning, improving, enlarging, operating, and maintaining buildings, automobile parking lots or structures, recreational facilities, stadiums, and the necessary sites therefor, together with appurtenant properties and facilities necessary or convenient for the effective use thereof, for the use of any legitimate purpose of the incorporating units; and
WHEREAS, Articles of Incorporation of a joint authority to be incorporated by the County and the City under Act 31 have been prepared and carefully reviewed by the County Board of Commissioners; and
WHEREAS, the County Board of Commissioners deems it advisable and necessary and in the best interest of the County to create and establish such an Authority under the provisions of Act 31 for the purpose of accomplishing the aforesaid.
THEREFORE BE IT RESOLVED:

1. The attached Articles of Incorporation of the City of Lansing and County of Ingham Joint Building Authority (the "Authority") are hereby approved and adopted.
2. The Chairperson of the County Board of Commissioners and the County Clerk are hereby authorized and directed to execute the Articles of Incorporation for and on behalf of the County, and to deliver the executed Articles of Incorporation to the City Clerk, together with a certified copy of this resolution.
3. Upon execution of the Articles of Incorporation by the City and the County, the County Clerk shall cause a copy of the Articles of Incorporation of the Authority to be published as provided in Act 31 once in the Lansing State Journal, being a newspaper circulated within the County and the City, such publication to be accompanied by a notice that valid incorporation of the City of Lansing and County of Ingham Joint Building Authority shall be conclusively presumed unless questioned in a court of competent jurisdiction as provided in Act 31.
4. The County Clerk shall file a certified copy of the executed Articles of Incorporation of the Authority in his office and with the Secretary of State of the State of Michigan, together with a certificate stating the date and newspaper of publication of the Articles of Incorporation. The County Clerk is hereby authorized and directed to file the originally executed Articles of Incorporation with the recording secretary of the Authority, when selected, and to take such steps as are necessary under the provisions of State law to perfect the incorporation of said Authority.
5. All resolutions and parts of resolutions insofar as they conflict with the provisions of this Resolution be and the same hereby are rescinded.
6. It is the Board's intent to appoint the County Controller as the County's member to the Joint Building Authority; however, the actual appointment will be made by separate resolution at a future date.

NOTICE OF INCORPORATION OF THE
CITY OF LANSING AND COUNTY OF INGHAM
JOINT BUILDING AUTHORITY
PLEASE TAKE NOTICE that pursuant to Act 31, Public Acts of Michigan, 1948 (First Extra Session), as amended ("Act 31"), the City Council of the City of Lansing, Michigan, and the County Board of Commissioners of the County of Ingham, Michigan, have adopted Articles of Incorporation of the City of Lansing and County of Ingham Joint Building Authority. The Articles, hereinafter set forth, will be filed with the Ingham County Clerk and the Michigan Secretary of State, as required by Act 31.
ACT 31 GRANTS THE RIGHT TO QUESTION THE VALIDITY OF SUCH INCORPORATION IN A COURT OF COMPETENT JURISDICTION WITHIN SIXTY (60) DAYS AFTER THE LAST ABOVE FILING TO BE ACCOMPLISHED. AFTER SUCH TIME SUCH INCORPORATION SHALL BE CONCLUSIVELY PRESUMED TO BE VALID.
Further information including the time of the above filings may be obtained from the office of the Ingham County Clerk or the Lansing City Clerk.
